DEED OF GENERAL PARTNERSHIP

Articles of agreement made this 10th day of December, A.D. 1995 between Donald A. Lewis of Honolulu, Island of O'ahu and David Keanu Sai of Honolulu, Island of O'ahu, Hawaiian Kingdom. Witnesseth as follows:

1st. The above mentioned parties have agreed to form a general partnership under the firm name of Hawaiian Kingdom Trust Company in the business of administrating, investigating, determining and the issuing of land titles, whether in fee, or for life, or for years, in such manner as Hawaiian law prescribes, and whose office is located at 850 Richards St., Suite 507, Honolulu, Island of O'ahu. The company will serve in the capacity of acting for and on behalf the Hawaiian Kingdom government, hereinafter referred to as the absentee government, and also act as a repository for those who enter into the trust of the same. The company has adopted the Hawaiian constitution of 1864 and the laws lawfully established in the administration of the same. The company is to commence on the 15th day of December, A.D. 1995, and shall remain in existence until the absentee government is re-established and fully operational, upon which all records and monies of the same will be transferred and conveyed over to the office of the Minister of Interior, to have and to hold under the authority and jurisdiction of the Hawaiian Kingdom.

2nd. And it is agreed by and between the said partners that there shall be and kept at all times during the continuance of this trust perfect, just and true books of account wherein shall be entered and set down as well as all money by them or either of them received, paid, laid out or expended in and about the said trust and all other matters and things whatsoever belonging to the said trust and render to the office of the Minister of Interior a true, just and perfect inventory and account of all records and also all payments, receipts, disbursements and all other things by them made, received, disbursed, acted, done or suffered in the said trust, upon the date of transfer.

3rd. And the said partners hereby mutually covenant and agree to and with each other that during the continuance of said trust they will conduct the affairs of the same in strict compliance to the laws of the Hawaiian Kingdom as noted in the Compiled Laws of 1884 and the session laws of 1884 and 1886, and the common law of the Hawaiian Kingdom. That both partners are native Hawaiian subjects by birth and therefore deem it their duty and responsibility to institute this trust for and on behalf of the absentee government and to those who enter into the same. And it is further agreed by the same that due to the requirements of the Bureau of Conveyances, in the absence of the Hawaiian Kingdom government, that a foreign notary public commissioned by a foreign government is required for registering this deed, they do this involuntarily and against their will.

In witness whereof said parties have hereunto set their hands and seals the day and year first above written.
